1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) govern your access to and use of the Cohost platform (“Cohost,” “we,” “us,” or “our”), including all websites, mobile applications, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.


2. ELIGIBILITY

To use Cohost, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Services under applicable law

We reserve the right to suspend or terminate accounts that do not meet these requirements.


3. ACCOUNT REGISTRATION AND SECURITY

You must provide accurate, complete, and current information when creating an account.

3.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities under your account
  • Immediately notifying us of unauthorized access

4. DESCRIPTION OF SERVICES

Cohost provides a platform that enables users to:

  • Create, host, and manage events
  • Discover and participate in events
  • Upload and share content (photos, videos, messages)
  • Communicate with other users
  • Process payments related to events

We may modify or discontinue any part of the Services at any time without liability.


5. USER CONDUCT

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload harmful, offensive, or illegal content
  • Engage in harassment, abuse, or discrimination
  • Distribute malware or attempt unauthorized access
  • Use the platform for fraudulent purposes
  • Circumvent security measures

We reserve the right to remove content and restrict access at our sole discretion.


6. USER CONTENT

6.1 Ownership

You retain ownership of any content you submit (“User Content”).

6.2 License Grant

By submitting content, you grant Cohost a worldwide, non-exclusive, royalty-free license to:

  • Use, host, store, reproduce, modify, and display content
  • Distribute content as necessary to operate the platform

6.3 Responsibility

You are solely responsible for your content and must ensure it does not violate any laws or third-party rights.


7. EVENT HOSTING AND PARTICIPATION

7.1 Event Hosts

Hosts are responsible for:

  • Accuracy of event details
  • Compliance with laws and regulations
  • Safety and execution of events

7.2 Participants

Participants agree to:

  • Follow event rules
  • Respect hosts and other attendees
  • Assume risks associated with attendance

7.3 Cohost Role

Cohost acts as a platform provider and is not responsible for:

  • Event quality or execution
  • Conduct of hosts or participants
  • Any damages arising from events

8. PAYMENTS AND FEES

8.1 Payment Processing

Payments are processed through third-party providers. We do not store full payment details.

8.2 Fees

We may charge:

  • Service fees
  • Transaction fees
  • Subscription fees (if applicable)

All fees will be disclosed prior to payment.

8.3 Refunds

Refund policies may vary by event or host. Cohost is not responsible for refund disputes unless required by law.


9. INTELLECTUAL PROPERTY

All platform content (excluding User Content), including:

  • Software
  • Design
  • Logos
  • Trademarks

are owned by Cohost or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of the platform without permission.


10. THIRD-PARTY SERVICES

The Services may integrate with third-party services. We are not responsible for:

  • Third-party content
  • External services or APIs
  • Their terms or privacy practices

11. PRIVACY

Your use of the Services is also governed by our Privacy Policy, which explains how we collect and use your data.


12. DISCLAIMERS

12.1 “AS IS” Basis

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.

12.2 No Guarantees

We do not guarantee:

  • Continuous availability
  • Accuracy of content
  • Error-free operation

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Cohost shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or goodwill
  • Personal injury or property damage from events
  • Unauthorized access to user data

Our total liability shall not exceed the amount paid by you to Cohost in the past 12 months.


14. INDEMNIFICATION

You agree to indemnify and hold harmless Cohost, its affiliates, and employees from any claims arising out of:

  • Your use of the Services
  • Your content
  • Your violation of these Terms
  • Your violation of any laws or third-party rights

15. TERMINATION

We may suspend or terminate your access:

  • At any time, with or without notice
  • For violations of these Terms
  • For legal or security reasons

Upon termination:

  • Your access will be revoked
  • Data may be deleted in accordance with our Privacy Policy.

16. GOVERNING LAW AND DISPUTE RESOLUTION
